Terms of Service
The agreement between you and Forge The Stack.

1. Acceptance of Terms
ForgeTheStack LLC ("Provider") provides the Forge The Stack website and services ("Services"). By accessing or using the Services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.
2. Services
Forge The Stack provides:
- Custom website design and development
- Website hosting and maintenance packages
- Website-related search engine optimization (SEO)
- Client portal access for project management and billing
Any included revision rounds and how the parties count them appear in the applicable signed scope or agreement. New deliverables or material changes to an approved direction require a signed change order. If an agreement does not state an included revision allowance, no included rounds apply.
Any SEO, analytics, content, or technical work is limited to the items stated in the applicable written scope. Search engines and other third parties control indexing, rankings, and platform availability. We do not promise particular rankings, traffic, inquiries, leads, calls, bookings, conversions, sales, revenue, or business results. Results and timing depend on factors outside our control, including competition, market conditions, client-provided information, third-party changes, and the Client's own operations and follow-up.
3. Client Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
4. Payment Terms
- All tiers include our comprehensive basic features, mobile responsiveness, basic SEO setup, and an SSL certificate. Essential Build also includes three industry-specific features tailored to your business needs. Once your scope is determined, we collect a 50% deposit to begin. A second 25% payment is due at pre-launch, and the final 25% is due at launch.
- Any different build installment schedule, fees, payment dates, and related ownership or hosting terms must be stated in a written agreement signed by both parties.
- Monthly management packages are billed on the first of each month
- All payments are processed securely through Stripe
- Invoices for custom work are due within 30 days of issuance
- Late payments may incur a 1.5% monthly fee after 30 days, subject to applicable law
5. Intellectual Property
One-time build clients receive ownership of final client-specific deliverables after full payment, excluding Forge The Stack's pre-existing frameworks, reusable components, deployment tooling, utilities, and general know-how.
Managed subscription clients receive a non-exclusive, non-transferable license to use the delivered site and client-specific assets while the account remains active and paid. Third-party assets (fonts, stock images, plugins) remain subject to their own licenses.
Forge The Stack uses completed client work in portfolio or marketing materials only when the client grants that permission in a signed agreement or later written consent.
6. Website Ownership & Repository
All website source code is maintained in Forge The Stack's company GitHub organization. For one-time build projects, upon full payment you receive a complete client-specific code snapshot that you may host, modify, and deploy independently.
Forge The Stack retains its original repository, reusable systems, and internal tooling. Your domain registrations remain in your name unless otherwise arranged.
Managed-hosting clients' sites are deployed and maintained from the company repository. You are never locked into our service — at offboarding, you may request the latest deployable client-specific files, while Forge The Stack retains ownership of shared frameworks and tooling.
7. Service Level
For managed hosting clients, we target 99.9% uptime and aim to respond to critical issues within 4 hours during business hours. Non-critical requests are generally addressed within 2 business days. These are service targets, not guarantees or service-level credits, unless a signed client agreement expressly states otherwise. Scheduled maintenance, third-party outages, misuse, and events outside our reasonable control may affect availability.
8. Cancellation
- Monthly management packages can be canceled at any time with 30 days notice
- No refunds are issued for partial months
- Upon cancellation and after all amounts due are paid, managed clients may request the latest deployable client-specific files and assets
- Shared Forge frameworks, reusable components, internal tooling, third-party assets, and provider accounts remain subject to the ownership and license terms above
- We will assist with migration upon request, with any billable migration work agreed separately
9. Limitation of Liability
To the maximum extent permitted by applicable law, ForgeTheStack LLC's total aggregate liability to you arising out of or related to the Services will not exceed the total fees paid or payable by you to ForgeTheStack LLC under the applicable signed agreement for the Services giving rise to the claim. Neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption, even if advised of the possibility. These exclusions and limits do not apply to your payment obligations, either party's indemnification obligations, either party's fraud or willful misconduct, or liability that applicable law does not permit to be limited.
10. Dispute Process
Before filing a formal claim, you and Forge The Stack agree to provide written notice of the dispute and allow 30 days for a good-faith effort to resolve it informally. Either party may still seek temporary injunctive relief to protect confidential information or intellectual property.
11. Changes to Terms
We may update these terms from time to time. We will notify clients of material changes via email. Continued use of our Services after changes constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. If a dispute is not resolved during the informal notice period, venue lies in Arizona state or federal courts. Venue and dispute handling terms for signed client agreements may supersede this page when explicitly stated in a mutually executed contract.
14. Acceptable Use
You may not use the Services to violate law or another person’s rights, distribute malware or deceptive content, infringe intellectual property, interfere with security or availability, send unlawful unsolicited communications, or submit information you do not have the right to share. We may decline or pause work that presents a security, legal, or safety risk.
15. Client Responsibilities
You are responsible for providing accurate information, timely feedback and approvals, lawful rights to supplied content, and the credentials or access reasonably needed to perform the work. You are responsible for reviewing and approving final content, accessibility, legal notices, and claims specific to your business before launch.
16. Client Data Processing
When ForgeTheStack LLC processes personal data on a Client's behalf to provide Services, it will use that data only to perform, secure, maintain, and support the Services or as required by law, follow the Client's documented instructions, restrict access to authorized personnel, and apply reasonable safeguards. The Client is responsible for its authority, lawful basis, notices, and instructions. The parties will sign a separate data-processing addendum when required by law or agreed in the signed scope; that addendum controls if terms conflict. 17. Warranties and Third-Party Services
We will perform Services in a professional manner consistent with ordinary industry practice. Except for express commitments in a signed agreement, the Services are provided without implied warranties, including uninterrupted availability or fitness for a particular purpose. Third-party hosting, domains, plugins, APIs, payment providers, stock assets, and other external services are governed by their own terms and may change or become unavailable.
18. Suspension and Termination
We may suspend access or pause work when required to protect security, comply with law, address abuse, or respond to overdue amounts. We will provide notice when reasonably practicable and restore access after the underlying issue is resolved. Termination does not eliminate payment obligations or provisions that by their nature should survive.
19. General Terms
These Terms and any signed agreement form the complete agreement for the Services. If there is a conflict, the signed agreement controls. If a provision is unenforceable, the remaining provisions remain in effect. A waiver must be in writing and applies only to the specific instance. Notices may be sent to the email address associated with your account or to contact@forgethestack.com. Electronic communications and signatures may be used where permitted by law.
